1. Definitions

In these Terms and Conditions, the following definitions apply:

  • "Company," "we," "our," or "us" refers to Capstone Insights, a business consulting firm registered in Hong Kong
  • "Client," "you," or "your" refers to any individual or entity using our website or engaging our services
  • "Services" refers to the business consulting services we provide, including market research, business model evaluation, and strategic workshop facilitation
  • "Website" refers to our website located at capstonens.live
  • "Agreement" refers to these Terms and Conditions together with any service-specific agreements

2. Acceptance of Terms

By accessing our website or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services.

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our services. If you are acting on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

We may update these Terms and Conditions from time to time. Your continued use of our services following any changes constitutes acceptance of the revised terms.

3. Services Description

Capstone Insights provides business consulting services primarily to clients in Hong Kong and the Greater Bay Area. Our services include:

  • Market Research and Analysis: Custom research covering market dynamics, competitive landscape, and customer segments
  • Business Model Evaluation: Assessment of value creation, revenue streams, cost structures, and strategic positioning
  • Strategic Workshop Facilitation: Structured sessions for leadership teams addressing strategic planning and alignment

Specific service scope, deliverables, and timelines are defined in individual service agreements or proposals provided to clients.

4. Service Engagement

All service engagements begin with an initial consultation to understand your requirements. Following this consultation:

  • We will provide a written proposal outlining scope, timeline, and fees
  • Engagement commences upon your written acceptance of the proposal and payment of any required deposit
  • Any changes to scope must be agreed in writing and may affect fees and timelines

5. Client Responsibilities

To enable us to deliver our services effectively, you agree to:

  • Provide accurate and complete information relevant to the engagement
  • Make available appropriate personnel for interviews, workshops, and feedback sessions
  • Provide timely feedback and approvals at agreed milestones
  • Maintain confidentiality of our methodologies and proprietary approaches
  • Comply with all applicable laws and regulations

Delays or failure to fulfil client responsibilities may affect project timelines and deliverables.

6. Fees and Payment

Our standard service fees are:

  • Market Research and Analysis: HK$19,500
  • Business Model Evaluation: HK$13,800
  • Strategic Workshop Facilitation: HK$7,200

Unless otherwise specified in your service agreement:

  • A deposit of 50% is required upon engagement confirmation
  • The balance is due upon delivery of final deliverables
  • Payment is accepted via bank transfer in Hong Kong Dollars (HKD)
  • Invoices are payable within 14 days of issue
  • Late payments may incur interest at 2% per month

7. Intellectual Property

7.1 Our Intellectual Property: All methodologies, frameworks, templates, and proprietary approaches used in delivering our services remain our intellectual property. You receive a licence to use deliverables for your internal business purposes only.

7.2 Client Materials: You retain ownership of all data, information, and materials you provide to us. You grant us a licence to use such materials solely for the purpose of delivering the agreed services.

7.3 Deliverables: Upon full payment, you receive a non-exclusive, non-transferable licence to use project deliverables for your internal business purposes. Deliverables may not be resold, distributed, or used for commercial purposes beyond your own organisation without our written consent.

8. Confidentiality

Both parties agree to maintain confidentiality of all proprietary or confidential information shared during the engagement. Confidential information includes business data, strategies, financial information, and any other information marked or reasonably understood to be confidential.

This confidentiality obligation survives termination of the engagement and continues for a period of three years thereafter, unless the information becomes publicly available through no fault of the receiving party.

9. Disclaimers

9.1 Advisory Nature: Our services are advisory in nature. We provide analysis, recommendations, and frameworks based on available information and our professional judgement. Implementation decisions and their outcomes remain your responsibility.

9.2 No Guarantees: We do not guarantee specific business outcomes, financial results, or success of any strategy or decision. Market conditions, implementation quality, and numerous other factors affect business results.

9.3 Third-Party Information: Where our work incorporates third-party data or research, we rely on the accuracy of those sources and do not independently verify all such information.

10. Limitation of Liability

To the maximum extent permitted by Hong Kong law:

  • Our total liability for any claims arising from an engagement shall not exceed the fees paid for that specific engagement
  • We shall not be liable for any indirect, consequential, incidental, or punitive damages, including loss of profits, revenue, data, or business opportunities
  • We shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control

11. Indemnification

You agree to indemnify and hold harmless Capstone Insights, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these terms, misuse of our services, or violation of any law or third-party rights.

12. Termination

12.1 Termination by Either Party: Either party may terminate an engagement with 14 days written notice. Upon termination:

  • You shall pay for all services rendered up to the termination date
  • We will deliver any completed work and work-in-progress
  • Deposits may be retained or refunded on a pro-rata basis depending on work completed

12.2 Termination for Cause: Either party may terminate immediately if the other party materially breaches these terms and fails to remedy the breach within 7 days of written notice.

13. Website Use

When using our website, you agree not to:

  • Use the website for any unlawful purpose
  • Attempt to gain unauthorised access to our systems
  • Interfere with the proper functioning of the website
  • Copy, reproduce, or distribute website content without permission
  • Submit false or misleading information through contact forms

14. Dispute Resolution

14.1 Informal Resolution: In the event of any dispute, the parties agree to first attempt to resolve the matter through good faith negotiation.

14.2 Mediation: If informal resolution is unsuccessful, the parties agree to attempt mediation before commencing any legal proceedings.

14.3 Governing Law: These Terms and Conditions are governed by and construed in accordance with the laws of Hong Kong Special Administrative Region. The parties submit to the exclusive jurisdiction of the courts of Hong Kong.

15. General Provisions

15.1 Entire Agreement: These Terms and Conditions, together with any service-specific agreements, constitute the entire agreement between the parties.

15.2 Severability: If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver: Failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision.

15.4 Assignment: You may not assign your rights or obligations under these terms without our prior written consent.
